Terms of service

These terms of service govern the relationship between you (the “Client”) and ELS GLOBAL LIMITED (Company No. 17095467), trading as Els Global(the “Company”), when you engage us to provide digital services. By commissioning work from us, you agree to these terms.

Services provided

We design and build bespoke digital products for individuals, freelancers and small businesses in the UK. Our services include, but are not limited to:

  • Custom websites and landing pages
  • Admin panels, dashboards and internal tools
  • Mobile and web applications
  • Ongoing maintenance and support (where agreed)

The specific scope of each project is defined in the project proposal or brief we agree with you before work begins. Any work outside that scope will be discussed and agreed separately.

Quotes and payment

All quotes are provided in writing and remain valid for 30 days unless otherwise stated. We typically structure payments in milestones tied to project phases. The exact payment schedule will be outlined in your project proposal.

We reserve the right to pause or suspend work if payments are significantly overdue. We will always contact you before taking any such action.

Ownership of deliverables

Upon receipt of final payment, you own all deliverables produced for your project. This includes the website code, designs, copy we have written on your behalf, and any other assets created specifically for you.

We may use open-source libraries, frameworks or tools as part of the build. These remain subject to their respective licences and are not exclusively owned by either party.

Intellectual property

Any pre-existing intellectual property belonging to either party remains the property of that party. Where we use our own internal tools, starter templates or reusable code components, we grant you a perpetual, non-exclusive licence to use them as part of your delivered project.

We reserve the right to reference completed projects in our marketing materials unless you ask us not to in writing.

Client responsibilities

To deliver your project on time, we need your help. You agree to:

  • Provide content, assets, brand guidelines and feedback within reasonable timeframes
  • Designate a single point of contact for project decisions
  • Review and approve work at agreed milestones

Delays caused by late content or feedback may affect the project timeline. We will always communicate clearly if this becomes an issue.

Communication and response times

We aim to respond to all messages within one working day. Project updates are shared regularly, and we are available via email, phone and WhatsApp during standard UK business hours (Monday to Friday, 9am to 6pm).

We do not guarantee out-of-hours availability, but we will always do our best to accommodate urgent requests.

Revisions and changes

Our project proposals include a reasonable number of revision rounds. If additional revisions are needed beyond the agreed scope, we will discuss this with you and agree on any additional work before proceeding.

Warranties and liability

We take pride in delivering high-quality work, and we will fix any bugs or defects in our deliverables reported within 30 days of project completion at no additional charge.

However, to the fullest extent permitted by law:

  • Our total liability for any claim arising from a project shall not exceed the total fees paid by you for that project
  • We are not liable for indirect, consequential or incidental losses, including lost profits, lost data or business interruption
  • We are not responsible for issues caused by third-party services, hosting providers, or changes you or others make to deliverables after handover

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Cancellation

Either party may cancel a project by giving written notice. If you cancel, payment is due for all work completed up to the point of cancellation. Any deposits already paid are non-refundable unless no work has yet commenced.

Confidentiality

We treat all client information as confidential. We will not share your business information, strategies or proprietary data with third parties without your permission, except where required by law.

Governing law

These terms are governed by the laws of England & Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.

We may update these terms from time to time. The latest version will always be available on this page. For active projects, any material changes will be communicated to you directly.
